 Subject: 97 3.9 computer craziness and auto trans

Twice now, once yesterday, and once about 30k miles ago my check engine light went on. I pulled the code with OBDII reader and got p0740. My book just states torque converter circuit malfunction. Both times, I was just driving down the road, no buck, no shudder, no slip, no low fluid, no excessive temp. (at trans)...So I cleared the code.
A search of the boards found one hit concerning the trouble code. Anyone else had this? Serious?
Could it be because of faulty sensor, or 31-10.50s on my truck?
This brings me to another question. I have 210k on the truck and have been sort of "letting it go" because I have a crate motor waiting to put in. I am due to get some extra cash and am considering doing it in two weeks.-----I figure I might as well do the trans while there. Any advice?---go with Mopar rebuilt with warranty?---it got me this far--Go with Jasper? supposed to be the best---other suggestions?
Last question to an already too long post---motor out of 2001 4x4. 1997 4x2 truck. Motor complete with 3 miles (would like to keep most of the new parts on it)---will motormounts, exhaust man., cooling fan and clutch work?
