Just replaced my front 02 sensor, after about 2 weeks I got an engine code of 0420. Does this mean that my Cat. conv. is bad? Thanks..

It is a 99 with 82K on it, converter was changed at 60K due to rust decompsition per inspecting emissions while still living up north. Down here in VA NO emissions check. Yahooo...
